1. About Simpli Review

Simpli Review is a sole proprietorship operated in Quebec, Canada. These Terms of Service ("Terms") govern your use of our website at getsimplireview.com, our NFC review stand hardware, and our AI-assisted review generation platform (collectively, the "Service"). By subscribing or using the Service, you agree to these Terms.

2. The Service

Simpli Review provides:

• Physical NFC stands that, when tapped by a customer's smartphone, open a review portal
• An AI-assisted review generation tool that helps customers write Google reviews based on their experience
• A client dashboard for managing your business configuration, services, team members, and settings

We do not guarantee any specific outcome from using the Service, including but not limited to a minimum number of reviews received, improved search rankings, or appearance in AI-generated search results.

3. Free Trial

Monthly plan subscriptions include a 14-day free trial. During the trial:

• Your card is required to start but will not be charged until the trial ends
• You may cancel at any time before the 14 days are up — your card will not be charged
• The NFC stand shipped to you during the trial is yours to keep, regardless of whether you cancel
• You are not required to return the hardware if you cancel during or after the trial

Annual plan subscriptions do not include a free trial period.

4. Billing and Cancellation

Subscriptions are billed on a recurring basis — monthly or annually depending on the plan selected at checkout.

• You may cancel your subscription at any time through your Stripe billing portal or by contacting us
• Cancellation takes effect at the end of your current billing period — you retain full access until then
• We do not offer refunds for the current billing period after a charge has been processed
• Annual subscriptions are non-refundable once the billing period has begun

5. Hardware

NFC stands are shipped to the address provided at checkout. You are responsible for the stand once it has been delivered.

• Hardware is not required to be returned upon cancellation
• Stands are pre-programmed and linked to your business profile during setup
• Damaged, lost, or stolen stands are not replaced at no cost — replacement pricing is available on request

6. Acceptable Use

By using Simpli Review, you agree that:

• You will only use the Service to collect reviews from real customers who genuinely visited your business
• You will not use the Service to generate or post fake, fabricated, or misleading reviews
• You will not attempt to circumvent Google's review policies using our platform
• You are responsible for ensuring your use of the Service complies with Google's Terms of Service
• You will not share your dashboard credentials or allow unauthorized use of your account

We reserve the right to suspend or terminate accounts that we reasonably believe are in violation of these terms or being used to manipulate review platforms.

7. AI-Generated Content

Reviews generated through the Simpli Review platform are produced by Google Gemini based on selections made by your customer. The customer initiates and controls the review content by selecting their service, experience highlights, and other details. The AI assists in articulating that experience in written form.

You acknowledge that:

• Simpli Review does not guarantee the accuracy or quality of AI-generated content
• The customer is responsible for reviewing the generated text before posting it
• Simpli Review is not liable for any review content posted to Google or other platforms

8. Limitation of Liability

To the maximum extent permitted by applicable law, Simpli Review shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Service, including loss of revenue, loss of data, or loss of business opportunity.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 3 months preceding the claim.

9. Modifications to the Service

We reserve the right to modify, update, or discontinue any part of the Service at any time. We will make reasonable efforts to notify active subscribers of significant changes. Continued use of the Service after changes are made constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Quebec, Canada.
